These Terms of Service ("Terms") govern your access to and use of the website and software services provided by FreshStaff ("we," "us," or "our," and together, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

You must be at least 18 years old and able to form a binding contract to use the Services. If you create an account on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to: interfere with or disrupt the integrity or performance of the Services; attempt to gain unauthorized access to the Services or related systems; use the Services to transmit any unlawful, infringing, or harmful content; or reverse engineer, decompile, or otherwise attempt to derive the source code of the Services except as permitted by law.

Certain features of the Services may require a paid subscription. Fees, billing cycles, and payment terms will be provided at the time of purchase or in a separate order form or agreement. Except as required by law or as otherwise stated, fees are non-refundable.

We reserve the right to change our pricing with reasonable advance notice, which will apply to subsequent billing periods.

As between you and us, you retain all rights to the data and content you or your organization submit to the Services (“Customer Data”). You grant us a limited license to host, process, and display Customer Data solely as necessary to provide and improve the Services.

You are responsible for the accuracy, quality, and legality of Customer Data and for obtaining any necessary rights and consents to submit it to the Services.

The Services, including all software, text, graphics, logos, and other content (excluding Customer Data), are owned by FreshStaff or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms.

The Services may integrate with or link to third-party services or websites that are not owned or controlled by us. We are not responsible for the content, policies, or practices of any third-party services.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold us harmless from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Services or your violation of these Terms.

We may suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms. You may stop using the Services or cancel your subscription at any time in accordance with your applicable order form or account settings.

We may modify these Terms from time to time. We will post the updated Terms on this page and update the effective date above. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the jurisdiction in which our company is organized, without regard to its conflict of laws principles.
